1. Acceptance of Terms
By accessing and using the Green Valley Inc. website (greenvalley.cm) and related services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and customers. We reserve the right to update these terms at any time. Continued use of our website after changes constitutes acceptance of the modified terms. Material changes will be communicated via email or prominent website notice.
2. Use of Website
Permitted Use
You may use our website for lawful purposes related to researching, purchasing, or learning about our timber products and services. You agree not to use the website in any way that violates applicable laws or regulations.
Prohibited Activities
You may not: (a) attempt to gain unauthorized access to our systems, (b) interfere with website functionality, (c) use automated systems to scrape or download content, (d) transmit viruses or malicious code, (e) impersonate others, or (f) use the website for fraudulent purposes.
Account Responsibility
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.
3. Products and Orders
Product Information
We strive to provide accurate product descriptions, specifications, and pricing. However, we do not warrant that product information is error-free. We reserve the right to correct errors and update information without prior notice.
Order Acceptance
Your order constitutes an offer to purchase. We reserve the right to accept or decline orders at our discretion. Acceptance occurs when we send order confirmation via email. We may refuse orders for reasons including product unavailability, pricing errors, or suspected fraud.
Pricing and Payment
All prices are quoted in USD unless otherwise stated. Prices do not include shipping, taxes, or customs duties, which are the buyer's responsibility. Payment terms are specified in quotes and invoices. We accept wire transfers, letters of credit, and approved payment methods for commercial orders.
Minimum Order Quantities
Commercial orders may be subject to minimum quantity requirements, typically one container load (approximately 20-25 m³). Contact our sales team for smaller quantities or custom orders.
4. Shipping and Delivery
Shipping Terms
We ship globally using FOB (Free on Board) Douala Port, Cameroon as standard terms. Alternative shipping terms (CIF, CFR, DDP) can be negotiated. Delivery times are estimates and not guaranteed. We are not responsible for delays caused by customs, weather, or carrier issues.
Risk of Loss
Risk of loss transfers to the buyer upon delivery to the carrier at our facility or port (FOB terms), unless otherwise agreed in writing. Title to products passes upon full payment.
Inspection Upon Delivery
Buyers must inspect shipments upon receipt and report any damage or discrepancies within 7 days. Claims made after this period may not be accepted.
5. Returns and Refunds
Return Policy
Due to the nature of timber products, returns are generally not accepted except for: (a) products that do not match specifications, (b) damaged goods (when reported within 7 days), or (c) our shipping errors. Custom orders are non-returnable.
Refund Process
Approved refunds will be processed within 30 days to the original payment method. Shipping costs are non-refundable unless the error was ours. Restocking fees may apply.
Quality Disputes
Quality disputes must be supported by photographic evidence and independent inspection reports. We will work in good faith to resolve disputes, which may include replacement, credit, or partial refund.
6. Intellectual Property
Our Content
All website content, including text, images, logos, graphics, and software, is owned by Green Valley Inc. or licensed to us. Content is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.
Trademarks
Green Valley Inc., our logo, and product names are trademarks. FSC®, PEFC, and other certification marks are used under license and remain property of their respective owners.
Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the website for personal or business purposes related to purchasing our products. This license does not include downloading (except for caching), modifying, or commercial use of content.
7. Product Warranties
Quality Guarantee
We guarantee that products meet the specifications stated in our documentation and comply with FSC® certification standards. Natural variations in wood grain, color, and characteristics are inherent to timber and not considered defects.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that products will meet specific project requirements without proper specification.
Limitation of Liability
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO PRODUCTS OR SERVICES SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC PRODUCTS. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, PROJECT DELAYS, OR BUSINESS INTERRUPTION.
8. Certifications and Compliance
FSC® Chain of Custody
Products sold as FSC® certified comply with Forest Stewardship Council standards. Chain of custody documentation will be provided. It is the buyer's responsibility to maintain chain of custody if reselling certified products.
Export Compliance
All exports comply with FLEGT licensing and EUTR regulations. Buyers are responsible for import permits, customs clearance, and compliance with destination country regulations.
CITES Compliance
Certain wood species require CITES permits. We will assist with documentation, but buyers are responsible for obtaining necessary import permits in their jurisdiction.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption. (b) Our total liability for any claim shall not exceed the amount paid for the specific products or services giving rise to the claim. (c) We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, strikes, government actions, or supplier failures. (d) Some jurisdictions do not allow limitation of liability for consequential damages, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Green Valley Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of our website or products, (b) violation of these terms, (c) violation of any rights of third parties, or (d) misuse of products or failure to comply with applicable regulations.
11. Governing Law and Dispute Resolution
Governing Law
These terms are governed by the laws of the Republic of Cameroon, without regard to conflict of law principles. International sales are governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Dispute Resolution
Disputes shall first be resolved through good faith negotiation. If negotiation fails within 30 days, disputes shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with arbitration held in Douala, Cameroon, in English.
Jurisdiction
For disputes not subject to arbitration, you submit to the exclusive jurisdiction of courts in Douala, Cameroon. This does not affect our right to seek injunctive relief in any jurisdiction.
12. Force Majeure
We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, epidemics, government actions, labor disputes, supplier failures, or disruptions to transportation or utilities. Performance will be suspended during the force majeure event and resume when circumstances permit.
13. Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable while preserving intent.
14. Entire Agreement
These terms, together with our Privacy Policy and any written agreements for specific transactions, constitute the entire agreement between you and Green Valley Inc. regarding use of our website and services. These terms supersede all prior agreements and understandings.
